Terms and Conditions

General Terms and Conditions

RAHELOR is a sub-brand of NT Niederrhein Transporter e.K.

1.   Scope of Application

These General Terms and Conditions apply to all business relationships between

“RAHELOR” and its clients and business partners. They apply in particular to services related to the purchase, sale, sourcing, and brokerage of commercial vehicles, as well as the sourcing and brokerage of vans and other base vehicles for commercial camper, motorhome, and vehicle converters.

RAHELOR's offering is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law.

Contracts with consumers are not concluded.

Conflicting or deviating terms and conditions of the client shall only apply if RAHELOR has expressly agreed to their validity.

2.   Services of RAHELOR

RAHELOR assists businesses with the purchase, sale, sourcing, and brokerage of commercial vehicles and facilitates business contacts between potential buyers and sellers. This specifically includes sourcing, procuring, and brokering vans and other base vehicles for businesses that convert or process these vehicles into campers, motorhomes, or comparable vehicles.

Services may include in particular:

•              Brokering purchase and sales opportunities,

•              Sourcing and procuring suitable commercial vehicles, vans, base vehicles, or business partners,

•              Marketing of vehicles,

•              Support in communication and negotiations,

•              Support with documentation and payment processing, and

•              Organisation or brokerage of transport and further handling services.

If the client requires a vehicle for a specific intended purpose, particularly for conversion into a camper or motorhome, the intended use must be communicated to RAHELOR prior to placing the order. Whether specific technical or legal

requirements must be met for the planned conversion depends on the respective individual agreement.

The scope and nature of the respective service are determined by the individual agreement with the client.

Unless expressly agreed otherwise, RAHELOR acts solely as an intermediary (broker). The vehicle sales contract is concluded directly between buyer and seller.

RAHELOR does not become a party to this sales contract.

Provided there are no conflicting interests and nothing to the contrary has been agreed, RAHELOR is entitled to act for the other party to the brokered transaction as well.

Such dual agency does not affect the commission claim, provided it has been disclosed to the client and is legally permissible.

3.   Conclusion of Contract and Brokerage Order

A contract for brokerage or other services is concluded when the client places a corresponding order with RAHELOR and RAHELOR accepts it.

The submission of a vehicle enquiry, a buyer profile, a sales offer, an enquiry for a vehicle for a specific conversion or usage purpose, or other information via the website does not in itself constitute a vehicle purchase contract.

RAHELOR is not obligated to broker a specific buyer or seller or to bring about the conclusion of a vehicle transaction.

4.  Client Information

The client is obligated to provide all information required for brokerage or transaction execution completely and truthfully.

This applies in particular to requirements regarding vehicle type, dimensions, weight, engine specifications, payload, wheelbase, equipment, technical specifications, and the intended use or conversion purpose.

For vehicles offered for sale, all known details regarding vehicle condition, mileage, previous damage, accident damage, technical defects, ownership title, and vehicle documents must be truthfully disclosed.

For vehicles offered for sale, all known details regarding vehicle condition, mileage, previous damage, accident damage, technical defects, ownership title, and vehicle documents must be truthfully disclosed.

Any changes to essential information must be communicated to RAHELOR immediately.

RAHELOR is fundamentally not obligated to verify the accuracy or completeness of information provided by a client, unless such verification has been expressly agreed.

5.   Remuneration and Commission

Where a performance-based fee has been agreed, RAHELOR's claim to remuneration arises as soon as a sales contract or an economically equivalent transaction is concluded between the client and a business partner brokered or identified by RAHELOR as a result of RAHELOR's activities.

The amount of remuneration is governed by the respective individual agreement, the offer, or the pricing communicated at the time the order was placed.

Unless stated otherwise, all prices and fees are net, subject to the applicable statutory VAT.

Payment is due upon completion of the brokered transaction and invoicing, unless agreed otherwise.

RAHELOR's claim to remuneration remains fundamentally intact if a validly concluded brokered contract is subsequently cancelled, not performed, or terminated due to circumstances for which RAHELOR is not responsible. Mandatory statutory provisions where the entitlement to remuneration ceases remain unaffected.

6.   Direct Business Deals Following Brokerage

RAHELOR's claim to remuneration also applies if the buyer and seller conclude the transaction directly with each other after contact has been established by RAHELOR. This applies in particular if the client, within 12 months of contact being established or proven by RAHELOR, concludes a contract directly or indirectly with the introduced business partner for the identified vehicle or an economically equivalent transaction, provided the conclusion of the contract is attributable to RAHELOR's activities.

This also applies if the contract is concluded on terms different from the original enquiry, provided there is an economic connection between the brokerage by RAHELOR and the subsequent transaction.

The client must inform RAHELOR immediately about the conclusion of any such transaction.

The client is obligated, upon request, to provide RAHELOR with the details of the concluded transaction required to determine and calculate the commission claim, and to verify the conclusion of the contract in an appropriate form.

7.   Vehicle Condition and Sales Contract

Insofar as RAHELOR acts solely as an intermediary, RAHELOR does not provide any warranty for the brokered vehicle.

The respective seller is solely responsible for the characteristics, condition, mileage, equipment, roadworthiness/registration capability, defects, previous damage, and other properties of a vehicle.

RAHELOR accepts no liability or guarantee for statements made by sellers or other third parties, provided RAHELOR merely forwards this information.

A vehicle inspection expressly agreed with RAHELOR does not replace an independent technical assessment or expert appraisal, unless expressly agreed otherwise.

If RAHELOR carries out a vehicle inspection or check within the scope of the brokerage, this is performed according to the agreed inspection scope. The findings are communicated to the client in good faith. Unless expressly agreed, such an inspection does not constitute a comprehensive technical appraisal or a guarantee of freedom from defects.

Where a vehicle is procured or brokered for a specific purpose or conversion, in particular for conversion into a camper, motorhome, or comparable vehicle, RAHELOR does not guarantee that the vehicle is suitable for a specific conversion, a specific technical modification, a specific registration class, or subsequent type approval, unless such a characteristic has been expressly agreed.

Information provided by RAHELOR regarding the general suitability of a vehicle model or configuration for a specific conversion is given in good faith, unless expressly agreed as a binding specification, and does not constitute a guarantee of the technical feasibility or official approval of the specific conversion project.

8.   Transport and Additional Services

Where RAHELOR organises transport, vehicle collection, technical inspections, or other services via external providers, these services may be performed by independent third-party companies.

Where RAHELOR merely brokers such a service provider, the respective contract is concluded directly between the client and the service provider.

In this case, RAHELOR is not liable for the proper performance of the services by the independent service provider, provided RAHELOR is not at fault in selecting said provider.

9.   Payment and Settlement

Payments must be made in accordance with the payment terms agreed in the respective quote, contract, or invoice.

RAHELOR may make the performance of individual services conditional upon advance payment or other suitable security, if agreed on a case-by-case basis. Assisting with payment processing does not mean that RAHELOR itself becomes the buyer or seller of the vehicle.

In the event of late payment, statutory default provisions apply.

10.   Liability

RAHELOR is liable without limitation in cases of intent and gross negligence, as well as for damages arising from injury to life, body, or health.

In the event of a slightly negligent breach of a material contractual obligation, RAHELOR's liability is limited to foreseeable, contract-typical damages. Material contractual obligations are duties whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the contractual partner may regularly rely.

Any further liability for damages caused by slight negligence is excluded to the extent permitted by law.

The foregoing limitations of liability also apply in favour of the legal representatives and vicarious agents of RAHELOR.

Mandatory statutory liability provisions remain unaffected.

11.  Confidentiality

The parties agree not to disclose confidential business information obtained during the course of their cooperation to uninvolved third parties without the prior consent of the other party.

This excludes disclosure that is necessary for the execution of the respective transaction or required by law.

12.   Term and Termination

Unless a fixed term has been agreed between RAHELOR and the client, the respective brokerage or service order ends upon complete provision of the agreed service.

The right of either party to extraordinary termination for cause remains unaffected. Any remuneration and commission claims already accrued by RAHELOR remain unaffected by the termination or cancellation of the contractual relationship.

13.  Set-Off and Right of Retention

The client is only entitled to set-off with claims that are undisputed or legally established. Mandatory statutory set-off rights remain unaffected. The client may only exercise rights of retention based on counterclaims arising from the same contractual relationship. Mandatory statutory retention rights remain unaffected.

14.   Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), to the extent legally permissible.

If the client is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from the business relationship is the registered office of RAHELOR, to the extent legally permissible.

Should individual provisions of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. Status: August 2026
